1. Acceptance of Terms

Welcome to Pipo (“the Platform,” “we,” “us,” “our”). These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” “your”) and Pipo. governing your access to and use of the Pipo website, mobile application, and related services (collectively, the “Services”).

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES.

By accessing, downloading, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Services.

Supplemental Terms: Certain Services may be subject to additional guidelines, terms, or rules, which will be posted in connection with such Services. All such supplemental terms are hereby incorporated by reference into these Terms.

2. Definitions

  • “Client” means a User who purchases or requests Services from a Provider.

  • “Provider” means a User who offers and performs Services for Clients through the Platform.

  • “User” means any individual or entity who registers for an account, including both Clients and Providers.

  • “Services” (or “Gig Services”) refers to the tasks, labor, or services offered by a Provider and requested by a Client through the Platform.

  • “Platform Services” refers to the technology, marketplace, and related services provided by Pipo to connect Users.

  • “User Content” means all content that a User posts, uploads, publishes, submits, transmits, or includes in their profile or a Gig listing.

3. Eligibility and Account Registration

  • Eligibility: To use the Services, you must be at least 18 years of age and possess the legal authority to enter into binding contracts.

  • Account Creation: You must register for an account (“Account”) to access most features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

  • Account Security: You are solely responsible for maintaining the confidentiality of your Account login information and for all activities that occur under your Account. You agree to immediately notify Pipo of any unauthorized use of your Account.

  • Identity Verification: You authorize us to make any inquiries we consider necessary to verify your identity. This may include asking you for further information or documentation, which you must provide, or undertaking checks against third-party databases.

4. Nature of Relationship; Independent Contractors

CRITICAL PROVISION: Pipo is a technology platform that connects Clients and Providers. Pipo is not an employer, employment agency, or joint employer of any Provider.

  • Providers are independent contractors operating their own independent businesses.

  • Providers acknowledge and agree that they are not employees of Pipo and are not entitled to any benefits provided to employees (e.g., overtime, sick pay, health insurance).

  • Providers are solely responsible for determining how, when, and where they perform Gig Services, subject to any agreement with a Client.

  • Providers are solely responsible for paying all taxes, levies, and fees on income they earn through the Platform. Pipo will not withhold taxes or make tax payments on a Provider’s behalf.

  • Clients are solely responsible for selecting a Provider and for the quality, timing, and completion of the Gig Services.

5. Services and Financial Terms

  • Gig Listings: Providers create listings for their Gig Services, including description, price, and timing. Providers are solely responsible for the accuracy of their listings.

  • Booking and Acceptance: A booking is an offer from a Client. A contract for Gig Services is formed directly between the Client and Provider only when the Provider accepts the booking via the Platform.

  • Fees and Payment:

    • Clients agree to pay the total amount displayed at the time of booking (Provider’s fee + Pipo service fee + any applicable taxes).

    • Pipo charges may charge a service fee for use of the Platform, which is a percentage of the Provider’s fee. This fee will be clearly disclosed before a booking is confirmed.

    • Payments may be processed through third-party payment processor. You agree to abide by their terms of service.

    • All fees are non-refundable unless otherwise required by law or stated in our Cancellation and Refund Policy.

  • Disbursements to Providers: After successful completion of a Gig and upon Client payment confirmation, Pipo will disburse the Provider’s earnings, minus our service fee, to the Provider’s designated payment account. Providers are responsible for providing accurate payment information.

6. User Conduct and Responsibilities

You agree not to, and will not assist or enable others to:

  • Breach or circumvent any applicable laws, third-party rights, or our policies.

  • Post false, inaccurate, misleading, defamatory, or libelous content.

  • Refuse to pay for Gig Services after they have been completed and accepted.

  • Fail to deliver Gig Services that were paid for by a Client.

  • Interfere with or damage the Services, including through the use of viruses, cancel bots, or other harmful code.

  • Use the Services for any illegal or unauthorized purpose.

  • Harass, abuse, or harm another person.

  • Discriminate against or refuse service to anyone based on race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age, or sexual orientation.

  • Infringe upon the intellectual property rights of Pipo or any third party.

7. Intellectual Property Rights

  • Pipo ‘s IP: The Platform and all content therein (except User Content), including text, graphics, logos, and software, are the property of Pipo or its licensors and are protected by intellectual property laws.

  • User Content License: By posting User Content, you grant Pipo a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and modify such User Content for the purpose of operating, promoting, and improving our Services.

  • Provider Gig Listings: The license above specifically applies to Gig listings, which we may feature and promote on and off the Platform.

8. Ratings and Reviews

Users may leave public reviews and ratings for each other. Reviews must be fair, truthful, and factual. Pipo reserves the right to remove reviews that violate these Terms. We are not responsible for the content of any reviews.

9. Disclaimers; Limitation of Liability; Indemnification

  • DISCLAIMER OF WARRANTIES: THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. PIPO EXPLICITLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

  • LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, PIPO (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM IS LIMITED TO THE AMOUNT OF FEES YOU PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

  • INDEMNIFICATION: You agree to indemnify, defend, and hold harmless Pipo and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your breach of these Terms; (c) your User Content; (d) your interaction with any User; or (e) your performance or receipt of Gig Services.

10. Insurance

Providers are strongly encouraged to obtain and maintain appropriate insurance for their business, such as general liability insurance. Pipo does not provide any insurance coverage for Gig Services performed by Providers.

11. Dispute Resolution Between Users

Pipo encourages Users to resolve disputes amongst themselves. Pipo may, at its sole discretion, assist in resolving disputes but is under no obligation to do so. Any decisions made by Pipo are final.

12. Termination

  • You may terminate these Terms at any time by closing your Account.

  • We may, without prior notice, suspend or terminate your Account and access to the Services for any reason, including if we suspect you have breached these Terms.

  • Termination does not relieve you of obligations incurred prior to termination.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of [Delaware], without regard to its conflict of law principles. You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in [Wilmington, Delaware].

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Pipo regarding the Services.

  • Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

  • No Waiver: Pipo failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.

  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

  • Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of material changes. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of them.

  • Profile Information: Skills, work experience, qualifications, certifications, portfolio images, a background check (for certain Gigs), and a biography.

  • Gig and Booking Information: Details of the Services you offer (as a Provider) or request (as a Client), including location, timing, description, and price.

  • Payment Information: When making or receiving payments, we work with third-party payment processors. We do not store full credit card numbers on our servers. We receive and store limited information such as your billing postal code, the last four digits of your payment card, and the card’s expiration date for verification purposes.

  • Communications: Records of your correspondence with us and with other Users through the Platform.

  • Reviews and Ratings: Feedback you provide about other Users.

B. Information Collected Automatically:

  • Usage Data: We collect information about your interaction with the Services, such as the pages or content you view, searches for Gigs, bookings made, and other actions.

  • Device Information: We collect information about the device you use to access our Services, including hardware model, operating system, unique device identifiers, mobile network information, and IP address.

  • Location Information: With your permission, we collect precise or approximate location information from your mobile device to recommend nearby Gigs, enable location-based services, and for fraud prevention and security.

  • Cookies and Tracking Technologies: We use cookies, web beacons, and similar technologies to track activity on our Service and hold certain information. This helps us improve our Services and your experience.

C. Information From Third Parties:

  • Social Media Services: If you link your account to a social media service, we may receive information from that service.

  • Background Check Providers: For Providers, we may receive reports from authorized background check providers (with your consent).

  • Other Users: Other Users may provide information about you, such as when they submit a review or file a dispute.

2. How We Use Your Information

We use the information we collect for the following purposes:

  • To create, maintain, and secure your account.

  • To facilitate connections between Clients and Providers and enable the booking and provision of Gig Services.

  • To process transactions and send you related information, including confirmations, invoices, and receipts.

  • To verify your identity and conduct necessary security and fraud prevention checks.

  • To provide, maintain, personalize, and improve our Services.

  • To communicate with you about products, services, offers, promotions, and events, and provide other news and information we think will be of interest to you (you can opt-out of marketing communications at any time).

  • To protect the rights, property, or safety of Pipo, our Users, or the public.

  • Performance of a Contract: To fulfill our obligations under the Terms and Conditions (e.g., processing payments, connecting you with other Users).

  • With Other Users: As necessary to facilitate a Gig. This includes sharing your name, profile photo, and contact information with the Client or Provider you are transacting with.

  • With Service Providers: We share information with third-party vendors who perform services on our behalf, such as payment processing, data analysis, email delivery, hosting services, customer service, background checks, and marketing efforts.

  • For Legal Reasons: We may disclose information if we believe it is necessary to:

    • Comply with a legal process, subpoena, or government request.

    • Protect our rights, property, or safety, or that of our Users or others.

    • Enforce our Terms and Conditions and other agreements.

    • Investigate and prevent fraud and other illegal activities.

  • Business Transfers: In connection with a merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.

  • Aggregated or De-identified Data: We may share aggregated or de-identified information that cannot reasonably be used to identify you for business analytics and other purposes.
